The Principles form the basis of Asian Insiders’s Rules of Conduct and Disciplinary Rules, and these documents together reflect Asian Insiders’s recognition of partners and their employees’ responsibilities to the public, clients, colleagues and employers.
Asian Insiders partners and their employees adhere to UN’s Global Compact principles. This means operating in ways that, at a minimum, meet fundamental responsibilities in the areas of human rights, labour, environment and anti-corruption. Responsible businesses enact the same values and principles wherever they have a presence, and know that good practices in one area do not offset harm in another. Asian Insiders partners shall provide professional services objectively. Objectivity requires intellectual honesty and impartiality. Regardless of the particular service rendered or the capacity in which partners and their employees function, they should protect the integrity of their work, maintain objectivity and avoid subordination of their judgment.
Asian Insiders partners shall maintain the knowledge and skill necessary to provide professional services competently. Competence means attaining and maintaining an adequate level of knowledge and skill, and application of that knowledge and skill in providing services to clients. Competence also includes the wisdom to recognise the limitations of that knowledge and when consultation with other professionals is appropriate or referral to other professionals necessary. Partners and their employees make a continuing commitment to learning and professional improvement.
Asian Insiders partners shall be fair and reasonable in all professional relationships. Disclose conflicts of interest. Fairness requires impartiality, intellectual honesty and disclosure of material conflicts of interest. It involves a subordination of one’s own feelings, prejudices and desires so as to achieve a proper balance of conflicting interests. Fairness is treating others in the same fashion that you would want to be treated.
Asian Insiders partners shall protect the confidentiality of all client information. Confidentiality means ensuring that information is accessible only to those authorised to have access. A relationship of trust and confidence with the client can only be built upon the understanding that the client’s information will remain confidential.
Asian Insiders partners shall act in a manner that demonstrates exemplary professional conduct. Professionalism requires behaving with dignity and courtesy to clients, fellow professionals, and others in business-related activities. Partners and their employees cooperate to enhance and maintain the profession’s public image and improve the quality of services.
Asian Insiders partners shall provide professional services diligently. Diligence is the provision of services in a reasonably prompt and thorough manner, including the proper planning for, and supervision of, the rendering of professional services.
The following terms and conditions (“Conditions”) together with any other related contractual terms – excluding any general terms and conditions of the Client – constitute the entire service agreement, including all consulting and organisational activities as well as similar services (“Services”) of Asia Sales Channels Ltd. These Conditions are final. Any verbal agreements shall be deemed void.
Unless agreed otherwise in writing, Asia Sales Channels Ltd.’ provided written offer for Services (“Offer”) shall be binding for one month after the first offer has been issued to Client. The representation and specification contained in the Offer and Offer documentation constitute the sole basis of Services to be performed by Asia Sales Channels Ltd. Any changes, additions or amendments to the Offer, the approach and/or the kind of procedure documentation require a prior written agreement in order to be valid.
As an essential, the delivery of Asia Sales Channels Ltd.’s Services requires a close and binding co-operation by the Client. The Client is aware that the performance of his/her obligation to co-operate forms a fundamental condition of the delivery of Services by Asia Sales Channels Ltd. Necessary prerequisites such as access to service rooms and any other necessary infrastructure to perform the Services or information which are required for the correct fulfilment of the agreement shall be immediately made available to Asia Sales Channels Ltd. prior to the commencement of the Services and shall last for the whole duration of the Service project. In the event the Client fails to comply with his/her obligations to cooperate in accordance with the agreement, any potential consequences resulting from the Client’s above-mentioned failure shall be fully borne by the Client. Potential costs arising out of the non-compliance of Client’s cooperation shall become the entire responsibility of the Client. Cancellation or unreasonable delays by the client during the term of this project shall result in the full project fee being paid.
Each party shall appoint a responsible project manager who shall be authorised to take binding decisions in regard to the project. Client’s project manager shall provide Asia Sales Channels Ltd. at all times with required information which are necessary for the performance of the services and shall make available all required documents to Asia Sales Channels Ltd.
Asia Sales Channels Ltd. is entitled to use sub-contractors in order to fulfil its obligations. Asia Sales Channels Ltd. assumes responsibilities for the work that is defined here.
The payment is based on “man-days“ (also called “person days“ or “service days“), which correspond to 8 (eight) hours. Travel costs, expenses and other extra charges will be billed additionally to Client. Unless otherwise agreed, fees are to be understood as EURO (shortened as EUR in the documentation) net prices, plus any applicable legal turnover tax. Invoices shall be paid 14 days after receipt. In case of any doubt, invoices are regarded as received three days after issue date of the invoice. Asia Sales Channels Ltd. is entitled to request appropriate advance payments and reimbursement of out-of-pocket expenses.
Asia Sales Channels Ltd.’s Offer documents and materials which will be handed over to the Client in accordance with the agreed. Asia Sales Channels Ltd. remains the owner of all legal claims and shares of the materials (deliverables). Materials are documents or other copyrighted works in written, machine-readable or other form of presentation, as for instance programs, lists of programs, auxiliary programs, documentations, protocols, drawings, instruction material and similar works. Equally, all rights on the software which has been developed for the execution of the project remains with Asia Sales Channels Ltd. In return for the complete payment of the fee stipulated in the Offer, the Client shall receive unlimited usage rights for the reproduction, presentation and distribution of copies, as well as the development of works which will be based on the supplied conclusive results, and which will be limited to internal usage. The employees of Asia Sales Channels Ltd. are entitled to use the data gained from the project for scientific publications. The publications will neither disclose the name of the Client nor any company related data from Client without the written agreement of the Client.
Both parties undertake to keep company and business secrets as well as other confidential information and documents of the other party confidential.
Confidentiality information does not include information which is or was generally known or was generally known prior to the commencement of the project, was acquired by a third party which is not deemed as confidential or was already in the possession of the other party without the obligation of confidentiality. This undertaking to keep information confidential shall remain even after the expiration of the agreement.
In the event of negligence, gross negligence as well as negligence of life, body or health, Asia Sales Channels Ltd. is liable to the extent set forth by applicable law. For all other cases, Asia Sales Channels Ltd. is only liable for negligence in the event for breach of essential contractual obligations.
Asia Sales Channels Ltd. shall not be liable for damages which were not foreseeable on completion of the agreement or atypical damages; in no event shall Asia Sales Channels Ltd. be liable for any lost profit, incidental or consequential damages, any loss of data or any loss of use out of or in connection with this agreement. In the event that Asia Sales Channels Ltd. is liable for any damages, Asia Sales Channels Ltd.’s liability with respect to its indemnification obligations shall be limited to the amount which was initially to be paid by Client to Asia Sales Channels Ltd. Liability claims become void within one year after the Client has become aware of the circumstances which constitute a claim or from the moment the Client – without the existence of a gross negligence – should have become aware of the circumstances which constitute a claim. Limitation of liability in the event of negligence will be subject to statutory laws. The aforesaid terms are also valid for Asia Sales Channels Ltd.’s legal representatives, employees as well as assistants and business vicarious agents of Asia Sales Channels Ltd.
Asia Sales Channels Ltd. and the Client can suspend or terminate the contract for a just reason. This must be a material breach of the terms and conditions of the offer. Notice of suspension or termination has to be given in writing two weeks prior to termination or suspension.. Cancellation or unreasonable delays by the client during the term of this project shall result in the full project fee being paid.
Asia Sales Channels Ltd. shall not be liable for any default or delay in the performance of its obligations under this agreement in case of force majeure. This includes all unforeseen circumstances which are beyond Asia Sales Channels Ltd.’ reasonable control (e.g. obstruction due to fire, water, strikes or lockout). In the event of a force majeure, the fulfilment of obligations will be delayed by the duration of the obstruction and by a suitable period of an initial period.
Each Party hereby irrevocably agrees that all disputes arising out of this Agreement or any transaction contemplated thereby shall be exclusively referred to and finally resolved by, arbitration in Singapore in accordance with the Arbitration Rules of the Singapore International Arbitration Centre.
Amendments, modifications or subsidiary agreements to these terms and conditions – including this clause – must be made in writing. Asia Sales Channels Ltd. is allowed to use the company and the brand name of the Client as reference for marketing purposes. Asia Sales Channels Ltd. is authorised to collect, store and process data in the context of the contractual Services or to appoint a third party to fulfil these tasks. Asia Sales Channels Ltd. is allowed to retain one copy of the project documents for the purpose of quality assurance and evidence after the termination of the project. If any provision or part of a provision in these Conditions is held or found to be illegal or unenforceable in whole or in part under any applicable law, such provision or part shall to that extent be deemed not to form part of these Conditions but the legality, validity or enforce ability of the remainder of this agreement or the remaining parts of such provision shall not be in any way affected or impaired thereby. These Conditions shall be exclusively governed by Hongkong law.
